Amendment of the Articles of Association
With the Board of Directors' resolution dated January 5, 2026, in addition to the accepted amendment to the authorized capital, it is resolved to;
- Amend Article 35 of the Articles of Association titled "Distribution of Net Profit" to ensure that the payments made from the net profit to Hacı Ömer Sabancı Foundation acquire the nature of a donation,
- Add Article 41 to the Articles of Association in order to regulate the principles of such donations,
- Apply to the Capital Markets Board and the Ministry of Trade to obtain the necessary permissions and approvals for the amendment text,
- Submit the amendment to the Articles of Association for the approval of the shareholders at the first General Assembly meeting following the receipt of the necessary permissions and approvals.
