Memorandum of Information

 

In our public disclosure dated 26.11.2020, it was announced that a memorandum of sale of shares that was prepared for the registration of Teknosa İç ve Dış Ticaret A.Ş. (Teknosa) shares with TRY 11,310,508.61 nominal value, which represent 10.28% of total share capital, has been admitted for the approval of Capital Markets Board (CMB) as of 25.11.2020.

The memorandum of sale of shares relating to the registration of Teknosa shares with TRY 11,310,508.61 nominal value is attached, as approved by CMB on its meeting dated 03.12.2020. Related shares will be registered by Central Securities Depository for trading.

The proceeds, which is to be acquired as a result of the transactions that lead to an increase in free-float rate of Teknosa, will be used for subscribing to contemplated capital increase that is going to be executed by Teknosa and hence for strengthening its equity.

In contradiction between the Turkish and English versions of this public disclosure, Turkish version shall prevail
